1. AGREEMENT TO TERMS

By accessing and using this website (devinpruitt.com) and booking a consultation with Devin Pruitt, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, do not use this website or services.

2. DESCRIPTION OF SERVICES

Devin Pruitt provides consulting and implementation services in the following areas:

  • POS (Point of Sale) system implementation and migration

  • Payment processing solutions and integration

  • Multi-location retail operations support

  • Technology system migrations and deployments

  • Cannabis retail compliance and regulatory guidance

  • Strategic planning and execution coordination

Services are delivered on a project basis. The scope, timeline, and deliverables for each project will be defined in a separate agreement or project proposal.

3. CONSULTATION BOOKING

When you book a meeting through this website you agree to the following:

  • You will provide accurate contact information.

  • Initial consultations are typically 30 minutes.

  • Attendance is required; cancellations must be made at least 24 hours in advance.

  • No-shows may result in rescheduling requirements or additional fees as specified in your project agreement.

  • All meetings are conducted virtually via video conference unless otherwise specified.

4. INTELLECTUAL PROPERTY

  • All content on this website — including text, images, logos, and design — is the intellectual property of Devin Pruitt or licensed to Devin Pruitt. You may not reproduce, distribute, or modify any content without written permission.

  • Work product created during consulting engagements becomes the client's property upon final delivery and full payment.

  • Devin Pruitt retains the right to use general methodologies, frameworks, and learnings from projects in future work, provided no confidential client information is disclosed.

5. LIMITATION OF LIABILITY

  • Services are provided on an "as-is" basis. Devin Pruitt makes reasonable efforts to deliver high-quality consulting and implementation services.

  • Devin Pruitt is not responsible for results outside the scope of the agreed-upon project.

  • No guarantees are made regarding business outcomes, revenue, or financial results.

  • Devin Pruitt is not liable for indirect, incidental, special, or consequential damages arising from services rendered, to the fullest extent permitted by law.

6. CONFIDENTIALITY

  • Information shared during consultations and project engagements is treated as confidential.

  • Devin Pruitt will not disclose client information without permission, except:

    • As required by law.

    • To prevent harm or illegal activity.

    • With the client's express consent.

  • Both parties agree to take reasonable steps to protect confidential information.

7. PAYMENT TERMS

  • Invoices are due within the terms specified in project agreements.

  • Late payment may result in project suspension, additional fees, or collection actions.

  • Payment disputes must be raised in writing within 30 days of the invoice date.

  • All fees and invoices are in U.S. dollars (USD).

If you need any clauses tightened, expanded, or moved into a formal agreement, say what you want changed and I’ll produce the revised language.

8. LIMITATION OF SCOPE

Devin Pruitt provides consulting and implementation services only. This does NOT include:

  • Legal advice (consult a lawyer for legal matters)

  • Accounting or financial advice (consult a CPA for financial matters)

  • Medical or health advice

  • Any services outside the agreed-upon project scope

9. INDEPENDENT CONTRACTOR STATUS

Devin Pruitt operates as an independent consultant. No employment relationship, partnership, or agency relationship is created by engaging these services.

10. CHANGES TO TERMS

These Terms of Service may be updated at any time. Continued use of this website constitutes acceptance of updated terms. The "Last Updated" date will reflect any changes.

11. DISPUTE RESOLUTION

Any disputes arising from these terms or services will be governed by the laws of New Mexico. Both parties agree to attempt resolution through good-faith discussion before pursuing legal action.

12. THIRD-PARTY SERVICES

This website may use third-party services including:

  • Cal.com (for booking)

  • Squarespace (website platform)

These services have their own terms and privacy policies. Devin Pruitt is not responsible for their practices.

14. ENTIRE AGREEMENT

By using this website and booking a consultation, you acknowledge that you have read, understood, and agree to these Terms of Service.
